Airtel Money Announces London IPO Plan With IFC as Cornerstone Investor

LONDON, Sept. 23, 2026 — Airtel Mobile Commerce N.V., the operator of Airtel Money, announced plans for an initial public offering in London, with the International Finance Corporation agreeing to buy up to £67.2 million of shares as a cornerstone investor.

The financial technology company intends to seek admission to the Financial Conduct Authority’s equity shares (commercial companies) category and to trading on the Main Market of the London Stock Exchange, according to its announcement on Wednesday.

The proposed offering will be entirely secondary, meaning existing Airtel Money shareholders will sell shares to investors. Airtel Money will not issue new shares or receive fresh capital from the transaction. Proceeds from the shares sold in the offer will instead go to the participating shareholders.

IFC, a member of the World Bank Group, entered into a cornerstone investment agreement with Airtel Money and certain existing shareholders. Under the agreement, IFC will purchase shares from those shareholders at the final offer price, subject to customary conditions and the price established through the offering process.

Its commitment is capped at £67.2 million, equivalent to approximately US$90 million. The number of shares acquired by IFC will therefore depend on the final price and the terms of the completed offer.

Airtel Money operates across 13 African markets. Airtel Africa plc currently beneficially owns exactly 77.85% of Airtel Mobile Commerce N.V.’s issued ordinary share capital. The announcement did not specify in detail how the planned sale would alter Airtel Africa’s holding or identify all shareholders expected to participate in the offer.

The company expects at least 10% of its shares to be in public hands immediately after admission. That anticipated free float will be determined through the sale of existing stock rather than the creation of additional shares.

“Today marks the start of a new chapter for Airtel Money as we announce our plans to list on the London Stock Exchange,” Airtel Money Chief Executive Officer Ian Ferrao said in the exchange announcement.

The next formal stage is expected in early October, when Airtel Money plans to publish its prospectus. The document is expected to set out further details of the company, the offering and the associated risks and terms.

Book-building will be used to gauge demand and establish the offer price. Airtel Money expects to announce the final price in mid-October 2026, after that process has been completed. The IFC purchase will be made at the same final offer price, subject to the conditions in its cornerstone agreement.

The structure makes the transaction a route for current shareholders to sell part of their holdings through a public market offering. Because Airtel Money is not issuing new stock, the IPO itself will not add capital to the company’s balance sheet.

The planned flotation would give public-market investors access to shares in a mobile commerce business operating across multiple African economies. However, the size and value of the completed offer will depend on the number of shares sold and the final price reached through book-building.

Airtel Money’s announcement is an intention to float rather than confirmation that admission has occurred. Completion remains subject to the offering process, publication of the prospectus and other customary requirements. The company’s stated timetable points to the principal pricing decision being made in mid-October.

Until then, the IFC agreement provides an indicated source of demand of up to £67.2 million, while the expected minimum 10% free float establishes the company’s initial target for shares available to public investors following admission.
